Senior Commercial Counsel at TSI

TSI is seeking a Sr. Commercial Counsel – Contracts, Data Privacy & Regulatory Compliance to review and negotiate contracts with moderate to high risk to the company.  Contract activity may be non-routine and require development of specialized contract vehicles and techniques to accomplish business goals and objectives.  Generally, involves independent judgment and analysis of significant issue identification and resolution.  May require development of new contract policies and processes or assessment of required deviations from established norm.  Prefer candidates with experience working in a corporate legal or contracts department and comfortable in a fast-paced environment supporting internal business clients, as well as working directly with vendors and customers.

 

What Will You Do?

In order to grow and build a successful career with TSI, you will be responsible for:

  • Reviewing complex solicitations and preparing specialized and/or non-routine response for proposals, bids, and contract modifications.  May prepare complex requests for proposals.
  • Analyzing significant, and/or unique contract requirements, special provisions, terms and conditions to ensure compliance with appropriate laws, regulations, and corporate policies and business unit procedure.
  • Providing contractual guidance to internal stakeholders for appropriate Statement of Work.
  • Partnering with General Counsel on contract change control process.  Assisting in identification, development and implementation of new contract policy and processes.
  • Functioning as domain expert on contracts, data privacy & regulatory compliance issues.
  • Researching and providing informed legal advice on privacy and data security matters impacted by CCPA, GDPR and other state and federal privacy and data security laws and regulations. Overseeing maintenance of privacy law tracking tools based on new and emergent privacy legislation and industry standards Reviewing and maintaining internal privacy policies, notices, and security standards
  • Developing negotiation strategy and leads internal negotiation team on complex contractual issues.
  • Analyzing new law, regulation and contract trends for potential impact on business unit goals and objectives.
  • Providing authoritative guidance to internal business teams on corporate goals and objectives relating to contract activity.
  • Being focal point for all communication with law, finance and business team disciplines for resolution of contract issues and disputes.
  • Being focal point for all communication with legal, engineering and marketing teams on regulatory compliance including UL, CE, wireless, intrinsic safety and all US / foreign laws and regulations related to product approvals. 
  • Assisting the General Counsel in negotiating and closing corporate transactions (M&A, equity and debt financings, forming new subsidiaries, etc.)
  • Assisting the General Counsel with other in-house legal matters, including, but not limited to, compliance with U.S. and foreign regulatory requirements, technology licensing transactions, and developing and implementing regulatory compliance policies and procedures.
  • May assist in new business pursuit and associated contract strategy.
  • May participate in development of less complex business alliances and partnering agreements.
  • Having a general understanding of the business case and an appreciation of financial/analytical issues and profit and loss implications.

 

What Do You Need?
Required

  • Bachelor’s & JD Degree
  • 5-7 years’ experience drafting and negotiation of contracts.

  • 3-5 years’ experience in the field of data privacy  

  • 3-5 years' experience in the field of product regulatory compliance

  • Drafting moderate to complex, non-routine contractual instruments.

  • Working to excellent knowledge of corporate policies and procedures, coupled with ability to identify required improvement to established policies.

  • Working to expert knowledge of contracting concepts, Uniform Commercial Code, applicable public contract acquisition law and regulations, and applicable international contract law.

Desired

  • 7+ years’ experience drafting and negotiating of contracts, data privacy and product regulatory compliance  

  • CIPP/E or CIPM
